Kendyl Terms of Service

Last updated: October 1, 2026
Effective: October 1, 2026

These Terms of Service are the agreement between you and Kendyl LLC ("Kendyl", "we", "us") for using Kendyl: the website, the web app, the Kendyl desktop app, the browser time tracker, AI interviews, and the integrations we offer (together, the "Services").

Please read them. They explain how hiring, tracking, billing and payouts work on Kendyl, what you can and cannot do, and what happens when something goes wrong.

At a glance

This summary is not a substitute for the Terms below.

  • Kendyl is a marketplace and a set of tools. Businesses and Talent agree on work with each other. Kendyl is not the employer, and not a party to that work contract.
  • Hourly work is tracked. While the timer runs, the desktop app takes at most one screenshot in each 10-minute block (one per screen if you capture all screens), counts keyboard and mouse activity, and records the title of the window you used most. It never records which keys you press.
  • Hourly work is billed by calendar month, in UTC. The Business can review hours during the month. The 1st of the next month is the last day to review and the only day to dispute. Hours not disputed by then are approved automatically. Where Kendyl's automated billing runs for the contract (section 9.4), the Business is charged on the 2nd.
  • Kendyl keeps 10% of hourly earnings. It comes out of what the Talent receives, not on top of what the Business pays. Businesses pay a placement fee on full-time hires and a fee for each active job post.
  • Talent are paid from money Kendyl actually collects. Kendyl does not hold funds in escrow and does not guarantee that a Business pays.
  • AI interviews are recorded and scored by AI. Candidates on interview links are sorted automatically by their score, and a Business or Recruiter can have Kendyl email each group automatically. Talent onboarding results can be viewed by any signed-in user.

Part 1: Terms for everyone

1. These Terms

1.1 Agreeing to these Terms. By creating an account, signing in, or using the Services, you agree to these Terms. If you use Kendyl for a company or other organization, you agree on its behalf and confirm that you are authorized to do so.

1.2 What applies to you. Part 1 applies to everyone. Part 2 also applies to Businesses and anyone acting for one. Part 3, the "Worker Terms of Service", also applies to Talent. Part 4 also applies to Recruiters. If a term in Part 2, 3 or 4 conflicts with Part 1, the more specific Part wins on that point.

1.3 Other documents. Our Privacy Policy explains how we handle personal information. The fees shown in the Services when you agree to a transaction, and on our fees page (https://kendyl.io/pricing), are part of these Terms.

1.4 Electronic agreement. You agree that clicking to accept, signing in, or using the Services is your electronic signature, and that we may send you agreements, notices and receipts electronically, by email or in the Services.

2. Who can use Kendyl

2.1 Eligibility. You must be at least 18 years old and able to form a binding contract. You may not use the Services if the law prohibits you from doing so.

2.2 Accurate information. Give us accurate, complete information and keep it up to date. This includes your name, your email address, your phone number when we ask you to verify it, and, for Businesses, your company details.

2.3 Verification. We verify your email address. We may also ask you to verify your phone number with a one-time code sent by SMS, and we may ask for more information before you can use some features, such as receiving payouts.

2.4 One person, one account. An account belongs to one person. Do not share your sign-in, let someone else use your account, or create more than one account of the same type unless we allow it.

2.5 Keeping your account secure. You are responsible for activity under your account. Keep your password and devices secure. You can see where you are signed in and sign out of any session from your settings. Tell us at hello@kendyl.io right away if you think someone else has accessed your account.

2.6 Signing in with Google. If you sign in with Google, Google's terms also apply to that sign-in.

3. Account types

3.1 Businesses. A Business account represents a company that hires on Kendyl. A Business can have several people with different roles:

  • Owner: full control, including billing and the team.
  • Admin: can see the Business's contracts, but not billing or the team roster.
  • Team member: limited access, such as the dashboard and interviews.

The Business is responsible for everything its team does on Kendyl.

3.2 Talent. A Talent account belongs to a person who offers their work: building a profile, taking AI interviews, accepting offers, tracking time and getting paid.

3.3 Recruiters. A Recruiter account belongs to a person who submits candidates to jobs or posts jobs of their own. Recruiter accounts may be placed on a waitlist and need Kendyl's approval before they can use recruiter features.

3.4 Candidates. Some people take an AI interview through a link a Business or Recruiter shares, before or without creating a Kendyl account. These Terms apply to the extent you use the Services this way.

4. What Kendyl is, and what it is not

4.1 What we provide. Kendyl provides tools for job posts, AI interviews, matching, offers and contracts, messaging, time tracking, invoicing and payments.

4.2 Not a party to your work. When a Business and a Talent agree on work, the contract for that work is between them. Kendyl is not a party to it, except for our own fees and our role in collecting and paying out money as these Terms describe. Kendyl is not the employer of any Talent, does not direct or supervise their work, and is not responsible for the quality, legality or delivery of the work.

4.3 No guarantees about people or outcomes. We do not guarantee that a job will be filled, that an offer will be accepted, that a person is who they say they are, or that work will meet anyone's expectations. Profiles, match results, scores, badges and AI summaries are tools to help you decide. They are not endorsements or guarantees.

4.4 Not an escrow service. Kendyl does not hold funds in escrow and does not guarantee that a Business will pay. How money moves is described in section 9, Part 2 and Part 3.

5. AI features

5.1 AI interviews. Kendyl's AI interviews record your video and audio, turn your answers into a transcript, and use AI to produce scores and written summaries, for example about skills, communication, English proficiency and role fit. We use third-party AI providers to run the conversation, transcribe it and evaluate it. See our Privacy Policy.

5.2 Integrity signals. During an AI interview we record signals such as switching away from the interview tab, long delays before answering, and audio dropouts. They may be shown to the Business with your results.

5.3 Scores can be wrong. AI output can be inaccurate or incomplete. A Business or Recruiter decides whom it hires.

5.4 Automatic sorting and emails. Kendyl automatically sorts the candidates on an interview link into Good fit, Potential fit or Not a fit, from their adjusted AI score. A Business or Recruiter can turn on emails that Kendyl sends automatically to each group, including a "not a fit" email. When those emails are on, a candidate can be told they were not selected without a person reviewing their interview first. See Part 2, section B3.

5.5 How Kendyl uses interview results. Kendyl uses the results of its own onboarding interviews to build Talent profiles and to match Talent with jobs. For each job, Kendyl calculates a match score from 0 to 100 using the Talent's profile and interview results. To apply to a job through Kendyl's job matches, a Talent needs:

  • a complete profile;
  • a completed technical interview and behavioral interview;
  • a technical interview result that is not "not qualified"; and
  • a match score of at least 60 for that job.

Once a Talent's interviews are complete, jobs that score under 60 are not shown in the Talent's job matches.

5.6 Interview integrity. Answer interviews yourself. Do not have someone else answer, use tools that generate answers for you, impersonate anyone, or copy or publish interview questions.

6. Your content

6.1 You keep ownership. Your profile, resume, interview recordings, messages, files, job posts and other material you add to Kendyl ("your content") remain yours.

6.2 What you allow us to do with it. You give Kendyl a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, analyse (including with AI), display and share your content as needed to run and improve the Services. For example: showing your profile, interview recordings, scores and summaries to Businesses and Recruiters reviewing you, and a Talent's profile and onboarding interview results to other signed-in users; showing tracked time and screenshots to the Business on that contract; and showing messages to the people in the conversation. This licence ends when your content is removed from the Services, except for copies we keep as described in section 14.3 and our Privacy Policy.

6.3 Your responsibility. You confirm that you have the right to share your content, and that it does not break the law or anyone's rights. Do not upload other people's personal information unless you are allowed to share it for the purpose you are using it for.

6.4 Messages. You can edit or delete a chat message you sent within 24 hours of sending it. Deleting a message removes its text and attachments from the conversation.

6.5 Feedback on contracts. When a contract ends, each side leaves feedback: a private part for Kendyl, and public ratings with an optional comment. Public feedback may be shown on profiles. Feedback must be honest. Do not offer anything in exchange for feedback, or threaten anyone over it.

6.6 Removing content. We may remove or restrict content that we believe breaks these Terms or the law, or puts others at risk.

6.7 Your suggestions. If you send us ideas or suggestions about Kendyl, we may use them without any obligation to you.

7. Acceptable use

Do not:

  • break the law, or help anyone else break it;
  • give false information, impersonate anyone, or create accounts to get around a suspension;
  • fake, inflate or misrepresent time or work, including logging time you did not work on that contract;
  • interfere with the desktop app or browser tracker: spoof screenshots, activity, device identity or the clock; use tools that simulate keyboard or mouse input; or change, block or work around how tracking works;
  • harass, threaten, discriminate against or abuse anyone;
  • send spam or unsolicited marketing through Kendyl;
  • scrape, copy or harvest data from the Services, or collect other users' personal information beyond what you need for a job or contract;
  • probe, scan or test the security of the Services, bypass access controls, or upload malware;
  • overload or disrupt the Services, or reverse engineer them except where the law allows it;
  • post jobs for work that is illegal, or offer such work;
  • share another user's confidential information in breach of section 12.

8. The Kendyl desktop app and browser tracker

8.1 Licence. We give you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the Kendyl desktop app and to use the browser tracker, only to use the Services under these Terms.

8.2 Platforms. The desktop app currently runs on Windows.

8.3 Updates. The desktop app checks for updates and downloads them, and installs a downloaded update the next time it starts. By using the app, you agree to receive these updates.

8.4 Data on your computer. The desktop app keeps your tracked time and screenshots on your computer until they upload, so tracking keeps working while you are offline. Screenshots are deleted from your computer once Kendyl has received them. The app also keeps limited logs on your computer. Uninstalling the app deletes its local data folder.

8.5 Starting with Windows. The app does not start when you sign in to Windows unless you turn that setting on.

8.6 Restrictions. Do not copy, modify, distribute, sell or lease the app, and do not tamper with how it captures screenshots, counts activity or keeps time.

8.7 Third-party software. The app includes open-source components under their own licences, listed in the app's settings.

9. Fees, payments and taxes

9.1 Kendyl's fees.

  • Hourly contracts

    Who pays
    Talent
    Fee
    10% of what the Business pays for the Talent's hours, deducted from the Talent's earnings. The Business pays the contract rate with no Kendyl fee added. Kendyl may waive this fee for some Businesses; the Talent then receives the full amount.
  • Full-time (annual) hires

    Who pays
    Business
    Fee
    A placement fee, a percentage of the hire's annual base salary. The percentage depends on how many earlier hires the Business has already paid a placement fee for: 20% for its first such hire, 18% for the second, 15% for the third, 13% for the fourth, and 10% for the fifth and later. See Part 2, section B5.
  • Job posts

    Who pays
    Business
    Fee
    US$250 for each 30-day period a job post is active. See Part 2, section B2.
  • Recruiters

    Who pays
    Recruiter
    Fee
    See Part 4.
  • Withdrawals

    Who pays
    Talent
    Fee
    Kendyl charges no withdrawal fee. Our payout provider's transfer and currency costs are deducted from the amount withdrawn. See Part 3, section T9.

We may change our fees. A change does not apply to amounts already invoiced, and we will give you notice before a fee change applies to you.

9.2 Payment providers. Card payments by Businesses are processed by Stripe; Kendyl does not see or store your full card number. Payouts to Talent and Recruiters are sent through Wise. You agree to the terms these providers require for their services, and you allow Kendyl to share with them the information they need to process your payments.

9.3 Kendyl as the Talent's payment collection agent. Each Talent appoints Kendyl as its limited agent to collect payments from Businesses for hourly work done through Kendyl. When a Business's payment for a Talent's hours succeeds, that payment counts as payment to the Talent for those hours. Kendyl owes a Talent only amounts it has actually collected for that Talent's work, less Kendyl's fee and any amount under dispute or found not chargeable.

9.4 Live payment processing.

9.5 Taxes. You are responsible for your own taxes. Kendyl may require a tax form (such as a W-9, W-8BEN or W-8BEN-E) before paying you, and may report payments to tax authorities where the law requires it. Fees are stated without taxes; where the law requires us to collect tax on our fees, we will add it.

9.6 Currency. Kendyl currently charges for hourly work and job posts in US dollars, and Talent wallets hold US dollars. Our payout provider may convert the amount into your local currency when you withdraw.

9.7 Receipts. Businesses can download receipts for Kendyl's charges from their settings.

9.8 Refunds.

10. Services run by others

The Services use or connect to services run by other companies, such as Stripe (card payments), Wise (payouts), Google (sign-in), Twilio (SMS verification codes), Atlassian (the Jira integration, once available) and AI providers. Their terms and privacy policies apply to how they handle your information. Kendyl is not responsible for services we do not operate.

11. Intellectual property

11.1 Kendyl's property. The Services, the software, the Kendyl name and logos, and everything we create belong to Kendyl or our licensors. These Terms do not give you any right to them other than the licences in sections 6 and 8.

11.2 Work product. Ownership of what a Talent creates for a Business is a matter between them.

11.3 Copyright complaints. If you believe content on Kendyl infringes your copyright, write to hello@kendyl.io with the details.

12. Confidentiality between users

Businesses and Talent may share confidential information with each other through Kendyl, such as business plans, code, customer information, and screenshots of a Talent's screen. Use another user's confidential information only for the job or contract it was shared for, and do not disclose it, unless the owner agrees or the law requires it. These duties continue after the contract ends. Users may agree stricter terms with each other.

13. Working together outside Kendyl

14. Suspension, termination and deleting your account

14.1 Suspension and termination by Kendyl. We may suspend or close your account, suspend or remove your job posts, or limit features if we reasonably believe you broke these Terms, created risk for other users or for Kendyl, did not pay amounts you owe, or if the law requires it. Where we can, we will tell you why and give you a chance to respond.

14.2 Deleting your account. You can delete your account from your settings. If you are the only owner of a Business, you must first transfer ownership to someone else. End your active contracts and withdraw your available balance before you delete your account.

14.3 What deleting your account does. When you delete your account, we mark it as deleted, sign you out everywhere, and remove you from any Business teams. We keep the records of what happened on Kendyl, including jobs, contracts, time records, invoices, transactions, billing and audit records, and other information, as our Privacy Policy describes. Deleting your account does not cancel amounts you owe or are owed.

14.4 What continues after termination. Sections on fees and amounts owed, your content licence (to the extent we keep copies), intellectual property, confidentiality, disclaimers, limitation of liability, indemnity and disputes continue after your account is closed.

15. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent the law allows, Kendyl disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not promise that the Services will be uninterrupted, error-free or secure. In particular, a screenshot can fail to be taken or uploaded, activity counts can be unavailable on some computers or in some windows, time saved offline can arrive late, and AI output can be wrong. We are not responsible for decisions you make based on information in the Services.

Some places do not allow some of these disclaimers. Where so, they apply only as far as the law allows.

16. Limitation of liability

To the fullest extent the law allows:

  • Kendyl is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if we were told they were possible.
  • Kendyl is not liable for disputes between users, or for anything a Business, Talent, Recruiter or candidate does or fails to do.
  • Kendyl's total liability for all claims relating to the Services is limited to the greater of the fees you paid Kendyl in the 12 months before the claim, or US$100.

Nothing in these Terms limits liability that cannot be limited by law.

17. Indemnity

You will defend and indemnify Kendyl and its personnel against claims, losses and costs (including reasonable legal fees) arising from your content, your use of the Services, your work contracts and dealings with other users, or your breach of these Terms or the law.

18. Disputes between users

Disputes about a job, a contract or the work are between the people involved. Kendyl runs one dispute process: the review of disputed hourly hours described in Part 2, section B9 and Part 3, section T8. Kendyl's decision in that process settles how Kendyl handles the money for those hours. It does not stop either party from pursuing other claims against the other. To the extent the law allows, you release Kendyl from claims arising from disputes with other users.

19. Disputes with Kendyl

19.1 Talk to us first. If you have a dispute with Kendyl, write to hello@kendyl.io first and give us 30 days to try to resolve it.

19.2 Governing law. These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules.

19.3 Where disputes are decided. The state and federal courts located in New York County, New York.

20. Changes to these Terms

We may update these Terms. The "Last updated" date at the top shows when we last did. If a change is material, we will tell you by email or in the Services at least 30 days before it takes effect, unless the change is required by law or addresses a new feature. If you keep using the Services after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Services and close your account.

21. General

  • Entire agreement. These Terms, and the documents in section 1.3, are the whole agreement between you and Kendyl about the Services.
  • Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours, for example in a merger or sale of our business.
  • Severability. If a court finds part of these Terms unenforceable, the rest stays in effect.
  • No waiver. If we do not enforce a term, we have not given up the right to enforce it later.
  • Events beyond our control. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Relationship. Nothing in these Terms creates a partnership, joint venture or employment relationship between you and Kendyl.
  • Notices. We send notices to the email address on your account or in the Services. Send notices to us at hello@kendyl.io.
  • Language. If we translate these Terms, the English version controls.

Part 2: For Businesses

B1. Your team

You are responsible for the people you invite to your Business account and for what they do there. Only Owners can manage billing and the team. Keep your team list current, and remove people who should no longer have access.

B2. Posting jobs

B2.1 Your job posts. Job posts must be accurate, describe real work, and comply with the law, including anti-discrimination law. We may review, pause or remove a job post that breaks these Terms.

B2.2 Job post fee. Each active job post costs US$250 for each 30-day period it is active. We charge your payment method:

  • when you publish a job;
  • when you reactivate a job whose paid period has ended; and
  • at the start of each new 30-day period while the job stays active.

B2.3 Deactivating a job. When you deactivate a job, it stops renewing and stays active until the end of the 30-day period you already paid for.

B2.4 Failed renewals. If a renewal charge fails, or no payment method is available, the job is paused. To make it active again, reactivate it with a working payment method.

B3. Hiring with AI interviews

B3.1 How it works. You can invite candidates to AI interviews. Candidates are recorded on video and audio, and their interviews are transcribed and scored by AI (see section 5).

B3.2 Automatic sorting and emails. Kendyl sorts each candidate into Good fit, Potential fit or Not a fit from their adjusted AI score. You can turn on emails that Kendyl sends automatically to each group, including a "not a fit" email; they are off until you turn them on. If you turn them on, those emails go out without anyone reviewing the candidate first, and you are responsible for that choice.

B3.3 Your decisions. You decide whom to hire. Use scores and summaries as one input and review candidates yourself. You are responsible for complying with the employment, anti-discrimination, privacy and AI-in-hiring laws that apply where you hire, including any duty to tell candidates that AI is used, to explain how, to get their consent to a recorded or AI-evaluated interview, or to audit the tool for bias.

B3.4 Notice to candidates.

B4. Information you receive

Through Kendyl you receive information about Talent and candidates: profiles, resumes, interview recordings and scores, messages, and, on hourly contracts, time records, screenshots, activity and window titles. Use it only to hire and to manage the contract it relates to. Protect it, comply with the privacy laws that apply to you, and do not keep it longer than you need it. For that information, you decide how you use it and you are responsible for that use.

B5. Offers and contracts

B5.1 Contract types. You can offer a Talent one of two types of contract:

  • Hourly: the Talent tracks time and is paid through Kendyl at an hourly rate.
  • Full-time (annual): you pay the Talent's salary directly, outside Kendyl, and Kendyl charges you a placement fee.

B5.2 Making an offer. You can make an offer to a Talent on Kendyl, or by email to someone who does not have an account yet; they need to create one to accept. You can cancel an offer that has not been accepted. A contract becomes active when the Talent accepts it.

B5.3 Changing an hourly contract.

  • You can propose changes to the rate, the weekly limit, manual time, payment protection, or the start or end date as a change request. The Talent can accept or decline it, and until they accept, the current terms continue.
  • Separately, you can switch manual time and over-limit work on or off directly, without the Talent's acceptance.
  • Changes are recorded in the contract's activity history.

B5.4 Placement fee on full-time hires. For a full-time hire, you owe Kendyl the placement fee in section 9.1, calculated on the hire's annual base salary. Section 9.4 says whether it is charged to your card automatically.

B5.5 90-day replacement guarantee. If a full-time contract ends within 90 days after the Talent accepted the offer, you can make a replacement offer for that role through Kendyl. If the replacement offer is accepted while that 90-day window is still open, no placement fee is charged for the replacement hire.

B6. Hourly contracts: the terms you set

When you make an hourly offer, you set:

  • Rate: what you pay per hour.
  • Weekly limit: the most hours per week (Monday 00:00 to Sunday 24:00 UTC) you agree to pay for automatically. The Talent can ask you to raise it, for one week or for future weeks, and you can approve or decline.
  • Over-limit work (on by default): whether the Talent may keep logging past the weekly limit. When it is on, hours past the limit are billed like other hours but are not covered by payment protection. When it is off, hours past the limit are not billed and not paid.
  • Manual time (off by default): whether the Talent may add time by hand. Manual time is billed like tracked time but is not covered by payment protection.
  • Payment protection (on by default): see section B9.3.

B7. Tracking and what you see

B7.1 What you see. On an hourly contract you can see the Talent's tasks and logged time. For time tracked with the desktop app, you can also see screenshots, how many key presses and how many mouse clicks or scrolls were counted in each minute, and the title of the window the Talent used most in each 10-minute block. Part 3, section T4 describes exactly what is recorded.

B7.2 How you may use it. Use tracking information only to review and manage work on that contract. Do not ask a Talent to track time outside the contract, or to install other monitoring software.

B7.3 Monitoring laws. You are responsible for any notice, consent or assessment that monitoring laws where you or the Talent are located require of you, for example where the Talent is your employee.

B8. Reviewing and approving hours

All dates and times in this section are in UTC.

  1. During the month. The Talent logs hours on tasks, and you can approve them as the month goes. Hours from today become approvable tomorrow, unless the Talent moves the task to Pending approval.
  2. On the 1st of the next month. Tasks still in progress are moved to Pending approval. This is your last day to review the month's hours, and the only day you can dispute them.
  3. From the 2nd. Hours you have not disputed by the end of the 1st are approved automatically.
  4. On the 2nd. Where Kendyl's automated billing runs for your contract (section 9.4), we invoice you for the month's hours at the contract rate and charge your payment method (section B10).

B9. Disputing hours

B9.1 When you can dispute. You can dispute specific hours only on the 1st of the month after they were worked (00:00 to 24:00 UTC).

B9.2 How a dispute is decided.

  1. You submit the dispute with your reason.
  2. The Talent has 3 days to accept or decline it.
  3. If the Talent accepts, the disputed hours are not chargeable and the Talent is not paid for them.
  4. If the Talent declines or does not respond in time, the dispute goes to Kendyl. Kendyl reviews the work record and decides whether the disputed hours are chargeable. Kendyl's decision covers the whole dispute: either all of its hours are chargeable, or none are.

B9.3 Payment protection. Kendyl takes payment protection into account when it decides a dispute. Hours qualify for payment protection only if the contract has payment protection on, and the hours were tracked with a Kendyl tracker (not added manually) within the weekly limit. Payment protection is not insurance, and Kendyl does not pay for any hours from its own funds.

B9.4 The money while a dispute is open. Disputed hours are included in the charge on the 2nd. Kendyl holds that amount, and does not pay it to the Talent, until the dispute ends. If the dispute ends with the hours not chargeable, that amount is owed back to you.

B10. Paying for hourly work

B10.1 Your authorization. You authorize Kendyl, through Stripe, to charge your default payment method, without asking each time, for:

  • the hours on your hourly contracts, each month, as described in section B8;
  • your job post fees; and
  • your placement fees.

Section 9.4 says which of these charges Kendyl currently makes automatically. Keep a valid default payment method in your settings.

B10.2 No payment method. If you have no default payment method, the monthly charge waits until you add one.

B10.3 Failed charges. If a charge is declined, we retry it automatically, up to three more times, about a day apart. If it still fails, update your payment method in your settings. Amounts you owe remain due, and we may suspend your account until they are paid (section 14.1).

B10.4 Talent pay depends on your payment. The Talent is paid for those hours only after your payment succeeds.

B10.5 Card disputes. If you have a problem with a charge, contact us before disputing it with your bank.

B11. Ending a contract

Either you or the Talent can end an active contract. When you end it, you leave feedback, and any timer running on the contract stops. Hours already logged are still reviewed, invoiced and charged in the normal monthly cycle.

Part 3: For Talent (Worker Terms of Service)

T1. You work for yourself

You are not an employee of Kendyl, and Kendyl does not control how, when or where you work. Whether you are an independent contractor or an employee of a Business is between you and that Business. Unless you and the Business agree otherwise, you are responsible for your own taxes, insurance, benefits, equipment and business licences.

T2. Your profile and AI interviews

Keep your profile accurate and your own. Your onboarding AI interviews are recorded and scored by AI (see section 5). Any signed-in Kendyl user can view your profile and your onboarding interview results, including the video, scores, English level, the scores drawn from your voice, the summary, the questions and the transcript of your answers. Interviews you take for a Business's or Recruiter's job are shared with them.

T3. Offers and contract changes

T3.1 Accepting. When you accept an offer, you agree to its terms, scope and pay, and the contract becomes active.

T3.2 Declining. If you decline an offer, you can no longer be considered for that position through that offer.

T3.3 Changes. If a Business proposes a change to a contract, you can accept it or decline it. If you decline, your contract keeps its current terms. A Business can switch manual time and over-limit work on or off without your acceptance (Part 2, section B5.3).

T3.4 Full-time hires. On a full-time (annual) contract, the Business pays your salary directly, outside Kendyl. Kendyl charges the Business, not you, a placement fee.

T4. Time tracking: what the desktop app records

Tracking runs only while your timer is running. Closing the app's window does not stop the timer; it keeps running in the background until you stop it. While the timer runs, the desktop app records:

T4.1 Screenshots.

  • At most one screenshot in each 10-minute block, at a random moment you cannot predict. A block with only a few seconds of tracking left may have none.
  • By default, only the screen your mouse pointer is on. You can choose to capture all your screens in the app's settings; then each screenshot is one image per screen.
  • After each screenshot, a notice appears on screen for about 12 seconds.

T4.2 Activity counts.

  • For each minute: how many times you pressed a key, and how many times you clicked or scrolled the mouse.
  • The app never records which keys you press, and it does not record what you type.
  • Mouse movement on its own is not counted.
  • The Business sees how many key presses and how many mouse clicks or scrolls were counted in each minute.

T4.3 Window titles.

  • The full title of the window you used most in each 10-minute block, and for how much of the block.
  • The Business sees the full title next to the screenshot. Window titles can include document names, website titles, email subjects or chat names.
  • Close or minimize anything private before you start your timer.

T4.4 Device information. A random identifier for your installation of the app, and timing information that helps detect changes to your computer's clock.

T4.5 Who can see it.

  • The Business on that contract (its owners and admins).
  • Kendyl staff, for support, disputes, safety and to enforce these Terms.
  • Our Privacy Policy explains how we handle it.

T4.6 Idle time. If your computer has had no keyboard or mouse input for 5 minutes while the timer runs and the screen is unlocked, the app asks whether to keep the time or discard it. If you discard it, that 10-minute block is not billed. If you do not answer within 60 seconds, the timer pauses. Locking your screen or putting your computer to sleep also pauses the timer.

T4.7 The browser tracker. Time tracked with the browser tracker records when you start, pause and stop, the task, and which device started the timer. It takes no screenshots and records no activity counts.

T5. Your promise about your time

Each hour you log, whether tracked or added manually, is your statement that you worked it, on that contract, on the task it is logged to. Do not log time for work you did not do, and do not interfere with tracking (section 7). If we find time was faked or tracking was tampered with, we may remove that time from billing, reverse amounts credited for it, and suspend your account.

T6. Which hours are billed and paid

T6.1 Tracked time. Each tracked block bills the time it actually covered, up to 10 minutes. A block still bills if its screenshot could not be taken.

T6.2 Blocks with no activity. A block in which the app recorded no keyboard or mouse activity at all is not billed, when the app reports that its activity counter was working.

T6.3 Weekly limit. If the Business has turned off over-limit work, hours past your weekly limit are not billed and not paid (Part 2, section B6). You can ask the Business to raise your limit.

T6.4 Manual time. You can add time by hand only on an active hourly contract where the Business allows it. Manual time:

  • cannot be added to a task that is completed, disputed or submitted;
  • can only be added for days in the current month (UTC), up to today, and not before the contract started;
  • can only be added for work that has already ended;
  • cannot be added for a day before the rate or weekly limit last changed, or for the day it changed unless that day is today;
  • cannot be added for a day that has been invoiced;
  • needs a description of the work;
  • cannot overlap time you already logged;
  • is at most 24 hours per entry; and
  • cannot run past a Monday 00:00 UTC or the 1st of a month 00:00 UTC.

Manual time is not covered by payment protection.

T6.5 Time that syncs late. Time saved while you were offline uploads when you reconnect. Time that reaches Kendyl after the hours it belongs to have already been reviewed or invoiced cannot be added to that bill.

T7. Deleting tracked time and screenshots

T7.1 Deleting a screenshot from the notice. You can delete a screenshot from the notice only before it uploads. If you do, the image is deleted from your computer and never sent. The minutes it covers stay tracked and still bill, and the Business sees that block without a screenshot. A screenshot uploads soon after its 10-minute block ends, even while the delete confirmation is open. If it has already uploaded, deleting it from the notice does not remove the copy Kendyl received, even if the notice says it was deleted. To remove it, delete that time (T7.2).

T7.2 Deleting tracked time. You can delete tracked time from the tracker. This removes those blocks, we delete their screenshot files from storage, and that time is not billed or paid. If a file's deletion fails, it can remain in storage.

T7.3 What you cannot delete. You cannot delete time from a month that has closed, or time that has been invoiced, billed, approved or disputed. A deletion request that includes any such time is refused in full.

T8. Reviews and disputes

T8.1 Approval. The Business reviews your hours during the month and up to the end of the 1st of the next month (UTC). Hours it has not disputed by then are approved automatically.

T8.2 Responding to a dispute. If the Business disputes your hours, you have 3 days to accept or decline. If you accept, you are not paid for those hours. If you decline or do not respond in time, Kendyl reviews the work record and decides, taking payment protection into account (Part 2, section B9.3).

T8.3 Money already paid. If disputed hours are found not chargeable after their amount was already credited to your wallet, Kendyl may deduct that amount from your wallet balance.

T9. Getting paid

T9.1 Kendyl collects for you. You appoint Kendyl as your limited payment collection agent, as described in section 9.3.

T9.2 Monthly credit. On the 2nd of each month (UTC), Kendyl charges the Business for the previous month's hours. After the charge succeeds, Kendyl credits your Kendyl wallet with your earnings for those hours, less Kendyl's 10% fee (section 9.1), except amounts under an open dispute.

T9.3 If the Business does not pay. If the Business's charge fails, it is retried (Part 2, section B10.3). You are credited only when Kendyl collects the payment. Kendyl does not pay you from its own funds for hours a Business has not paid for.

T9.4 Before you can withdraw. To withdraw, you need:

  • a payout method saved in your settings;
  • an approved tax form; and
  • no change to your payout details in the last 3 days. This hold protects you if someone else gets into your account.

T9.5 Withdrawing. You can withdraw your whole available balance at any time, with no minimum. If you choose a smaller amount, it must be at least US$5 for a USD wallet. Withdrawals are sent through our payout provider (currently Wise), and the payout methods available depend on what it supports for your country and currency. Its transfer and currency costs are deducted from your withdrawal. You see an estimate before you confirm, and the final amount on your receipt. Transfers may need a manual review before they are sent, so a withdrawal may take some time to arrive.

T9.6 Automatic monthly withdrawal. If you turn on automatic withdrawal (it is off by default), Kendyl starts a withdrawal of your available balance once a month, between the 2nd and the 7th (UTC), when your balance is more than US$100 and the requirements in T9.4 are met. Turning it off does not recall a withdrawal already sent.

T10. The Jira integration (coming soon)

This section applies once the Jira integration is available in Kendyl.

T10.1 Connecting. You can connect your Atlassian account to an hourly contract so your Jira issues become tasks on that contract. Connect only if you are allowed to share those issues with the Business.

T10.2 Read-only access. Kendyl asks Atlassian only for read access to Jira work items and users, plus permission to stay connected. It does not create or change anything in Jira.

T10.3 What syncs. Kendyl checks for changes about every 10 minutes, and does a full refresh every hour, of the Jira issues assigned to you on the connected site, including:

  • title, description and link;
  • key, project and status;
  • story points and original estimate.

They appear as tasks the Business can see.

T10.4 What Kendyl stores. Your Atlassian account ID, the connection's access tokens (stored encrypted), the Jira site you connected, and the issues it imports. Our Privacy Policy lists exactly what is stored.

T10.5 Disconnecting. You can disconnect a contract from Jira at any time. Disconnecting deletes that connection, and Kendyl deletes its stored access (your tokens and Atlassian account ID) once no other contract of yours uses it. Atlassian does not let an app withdraw its own access, so you can also remove Kendyl from the connected apps in your Atlassian account. Tasks already imported stay on the contract, with any time tracked on them.

T10.6 Atlassian's terms. Atlassian's terms also apply. Kendyl tells Atlassian which account IDs it stores, as Atlassian requires, and deletes the stored access and its connections if Atlassian reports that the account was closed.

T11. Ending a contract

You or the Business can end an active contract. When you end it, you leave feedback, and any timer running on the contract stops. Hours already logged are still reviewed, invoiced and paid in the normal monthly cycle.

Part 4: For Recruiters

R1. Approval

Recruiter features are available once Kendyl approves your account. We may keep applicants on a waitlist, and may withdraw approval if you break these Terms.

R2. Submitting candidates

When you submit a candidate to a job, you share their personal information, such as their name, contact details, LinkedIn profile and resume, with Kendyl and the Business. Before you submit a candidate:

  • get their permission to submit them to that job and to share their information for it;
  • make sure the information is accurate; and
  • tell them that Kendyl and the Business will process it, as our Privacy Policy describes.

Do not submit someone without their permission, or submit the same candidate in a way meant to claim a fee you have not earned.

R3. Commission on hires you submit

R3.1 How much. When a candidate you submitted is hired on a full-time contract and the Business pays its placement fee, you earn 50% of that placement fee.

R3.2 How it is paid. Kendyl credits your recruiter wallet once the Business's payment succeeds. Kendyl then sends the payout to you through Wise, as a manual transfer. You do not need to request it.

R3.3 What you need. You need valid payout details and a tax form on file to be paid.

R3.4 Hourly hires.

R4. Posting your own jobs

If you post a job of your own:

  • you pay the job post fee in Part 2, section B2; and
  • when you hire through it on a full-time contract, you pay 50% of the placement fee for that hire's tier.

R5. Guarantee periods
